Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you and ClassSwap LLC ("ClassSwap," "we," "us," or "our"). Please read them carefully. By accessing or using the ClassSwap website, mobile applications, or any related services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.

1. Introduction and Acceptance of Terms

ClassSwap provides an online peer-to-peer platform that helps college students connect with other students to facilitate class enrollment swaps, ask questions about courses and professors, and communicate with one another. These Terms govern your access to and use of the Services, whether you are browsing, creating an account, posting a listing, sending a message, or otherwise interacting with the platform.

By clicking "Sign up," "Accept," or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of another person or entity, you represent that you have authority to bind that person or entity to these Terms.

2. Eligibility

You may use the Services only if you meet all of the following requirements:

  • You are at least 18 years old, or you are at least 13 years old and have obtained verifiable consent from a parent or legal guardian who has reviewed and agreed to these Terms on your behalf.
  • You are a current student or affiliate of an accredited college or university in the United States and have a valid .edu email address or another school-issued email address that we can verify.
  • You are a resident of the United States or its territories and have the legal capacity to enter into a binding contract.
  • You have not been previously suspended or permanently banned from the Services for violation of these Terms or any applicable law.

By creating an account or using the Services, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not use the Services. We may suspend or terminate any account that we reasonably believe was created by a person who does not meet these requirements.

3. Minors Policy

ClassSwap is intended for users who are 18 years of age or older. Users under the age of 18 may use the Services only with verified parental or guardian consent. By creating an account or using the Services, you confirm that you are either 18 years of age or older, or that you have obtained verifiable consent from a parent or legal guardian who has reviewed and agreed to these Terms and our Privacy Policy on your behalf.

ClassSwap does not knowingly collect personal information from children under the age of 13. If we learn that we have collected personal information from a child under 13 without verifiable parental consent, we will delete that information as quickly as possible. If you believe that a child under 13 has provided personal information to us, please contact us through the Contact Us form.

ClassSwap reserves the right to terminate any account that we reasonably believe belongs to a minor who has not provided verifiable parental or guardian consent, without prior notice or liability.

4. California Minors' Right to Removal

If you are a California resident under the age of 18 and a registered user of the Services, you may request removal of content or information you yourself have posted on ClassSwap. To submit a removal request, contact us through the Contact Us form and label your message "California Removal Request." Please include a description of the content you want removed and enough information for us to locate it. We will remove the content in accordance with California Business and Professions Code Section 22581, though this does not ensure complete removal in all circumstances, including if the content has been copied, reposted, or shared by another user prior to removal.

5. Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You may not create an account using a false identity or on behalf of someone else without authorization.

You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account, whether or not you authorized it. You agree to notify us immediately if you suspect any unauthorized access to or use of your account. ClassSwap will not be liable for any loss or damage arising from your failure to safeguard your account credentials.

You may not sell, transfer, license, or share your account or account credentials with any other person. We reserve the right to disable any account that we believe is being used in violation of these Terms or that may compromise the security or integrity of the Services.

6. Intellectual Property

All content, materials, design, code, graphics, logos, trademarks, service marks, trade dress, and other intellectual property displayed on or provided through the Services (collectively, "ClassSwap Content") are owned by or licensed to ClassSwap LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not copy, modify, distribute, sell, lease, reverse-engineer, decompile, or create derivative works from any ClassSwap Content without our prior written consent.

The ClassSwap name, logo, and any related marks are trademarks of ClassSwap LLC. You may not use them without our express written permission. Nothing in these Terms grants you any right, title, or interest in any ClassSwap Content or our intellectual property.

You retain ownership of any content, messages, listings, reviews, questions, answers, or other materials that you submit, post, or transmit through the Services (collectively, "User Content"). However, by submitting User Content to the Services, you grant ClassSwap a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and perform your User Content in connection with operating, promoting, improving, and developing the Services. You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit your User Content and that your User Content does not infringe any third-party rights or violate any applicable law.

7. Hyperlinks to Third-Party Sites

The Services may contain links to third-party websites, including your school's official registration portal, financial aid resources, or other external resources. These links are provided for your convenience only. ClassSwap does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of use of any third-party site. Your use of any third-party site is at your own risk and subject to that site's own terms and privacy policy. ClassSwap is not responsible for any loss or damage arising from your use of, or reliance on, any third-party site linked from the Services.

8. Non-Compete and Non-Solicitation

In exchange for access to the Services, you agree that you will not, directly or indirectly, use any information, data, content, listings, user profiles, messages, or other materials obtained from or through ClassSwap to build, develop, operate, promote, or contribute to any platform, website, application, service, or business that competes with ClassSwap or offers similar class swap, course Q&A, or student networking services.

You may not use the Services to solicit, recruit, or invite other ClassSwap users to join competing platforms or services, or to communicate with them for commercial purposes unrelated to the Services. You may not harvest, collect, or store user information for the purpose of competing with ClassSwap or soliciting users outside of the Services.

Violation of this section may result in immediate account termination, injunctive relief, and any other legal remedies available to ClassSwap under applicable law.

9. User Content and Postings

You are solely responsible for any User Content you submit to the Services. You agree not to submit any User Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, sexually explicit, violent, hateful, racially or ethnically offensive, or otherwise objectionable.

ClassSwap does not endorse any User Content and is not responsible for the accuracy, reliability, or legality of any User Content. We reserve the right, in our sole discretion and without notice or liability, to review, monitor, remove, edit, disable access to, or refuse to publish any User Content at any time for any reason or no reason, including if we believe it violates these Terms, our policies, or any applicable law, or is otherwise harmful to the platform or our users.

By submitting User Content to any public or semi-public area of the Services, you understand that other users may view, copy, share, or interact with that content. Do not post personal information that you are not comfortable sharing publicly.

10. Section 230 Protection

ClassSwap LLC is an interactive computer service provider under Section 230 of the Communications Decency Act (47 U.S.C. § 230). You acknowledge and agree that ClassSwap is not the publisher or speaker of any User Content, including listings, messages, reviews, questions, answers, and other materials posted by users of the Services. ClassSwap does not create, develop, substantively edit, or otherwise control such third-party content.

To the fullest extent permitted by law, ClassSwap shall not be liable, civilly or criminally, for any User Content, including content that may be inaccurate, misleading, offensive, infringing, or otherwise unlawful. We reserve the right to remove or restrict access to User Content in our sole discretion, but we are not obligated to monitor, review, or edit any User Content. Nothing in this section is intended to limit any applicable consumer protection rights or other rights that cannot be disclaimed under law.

11. Rules of Conduct

In connection with your use of the Services, you agree not to:

  • Harass, threaten, intimidate, stalk, bully, discriminate against, or defame any other user or person.
  • Post false, misleading, fraudulent, or deceptive information, including forged or altered screenshots, transcripts, class schedules, or other academic records.
  • Impersonate any person or entity, misrepresent your affiliation with any person or entity, or create multiple accounts to evade enforcement, manipulate ratings, or mislead others.
  • Send spam, unsolicited commercial messages, chain letters, or off-platform solicitation, including requests for payment in exchange for a class swap.
  • Use any robot, spider, scraper, crawler, data-mining tool, or other automated means to access, monitor, copy, or extract data from the Services without our written permission.
  • Use the Services for any commercial purpose without our prior written consent, including advertising, selling, or promoting products or services unrelated to the Services.
  • Interfere with or disrupt the Services, servers, or networks connected to the Services, or attempt to bypass, disable, or circumvent any security or access controls.
  • Introduce viruses, malware, worms, Trojan horses, or other harmful or malicious code to the Services.
  • Violate any applicable local, state, national, or international law, regulation, or your school's academic policies, honor codes, or terms of service.
  • Post content that infringes or violates any third-party intellectual property, privacy, publicity, or other proprietary rights.

Violation of these rules may result in suspension or termination of your account, removal of content, forfeiture of any credits or benefits, and referral to law enforcement or your school as appropriate.

12. Scraping and Data Protection

You are strictly prohibited from scraping, crawling, data mining, harvesting, or using any automated tools, scripts, bots, or manual processes to collect, copy, extract, download, or store any data, content, listings, profiles, messages, or other information from the Services without ClassSwap's prior written consent. This prohibition applies regardless of whether the activity is performed directly or through a third party.

You may not use any data or information obtained from ClassSwap to build, develop, operate, promote, or support any competing platform, product, service, database, or directory. You may not combine ClassSwap data with data from other sources to create a derivative dataset or service.

Violations of this section will be considered a material breach of these Terms and may result in immediate account suspension or termination, injunctive relief, and civil or criminal legal action to the fullest extent permitted by law. ClassSwap reserves all rights and remedies available to protect its data, users, and platform integrity.

13. Account Suspension Policy

ClassSwap may take enforcement action against accounts that violate these Terms or our community guidelines. The following conduct may result in immediate suspension or termination without prior warning:

  • Posting false, fraudulent, or misleading information.
  • Harassment, threats, hate speech, or targeted abuse of other users.
  • Fraud, impersonation, or identity misrepresentation.
  • Scraping, crawling, or unauthorized data collection.
  • Repeated violations of community guidelines or these Terms.
  • Any illegal activity or conduct that poses a risk to the platform or its users.

The following conduct may result in a warning before further enforcement action is taken:

  • Minor community guideline violations.
  • Use of profanity or inappropriate language.
  • Off-topic or low-quality posts that do not serve the platform's purpose.

If your account has been suspended, you may submit an appeal by contacting us through the Contact Us form within 30 days of the suspension date. Your appeal should include the email address associated with your account, a description of the conduct at issue, and any relevant context. ClassSwap will review appeals in its sole discretion and will notify you of its decision. Submitting an appeal does not guarantee reinstatement.

14. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CLASSSWAP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE.

ClassSwap is an informational, peer-to-peer platform that helps students discover other students at their school with compatible course interests. We do not register students in classes, modify academic records, transfer or reserve seats, guarantee that any connection or registration change will be completed, or verify the identity, enrollment status, or suitability of any user. Any actual registration change is made solely by each student, through their own school's official registration system. ClassSwap is not affiliated with, endorsed by, or sponsored by any school or university.

Class Insights content, including questions, answers, and comments about courses and professors, reflects the individual opinions and experiences of the students who post it. ClassSwap does not verify the accuracy, completeness, or fairness of any Class Insights post, and does not endorse or vouch for any claim made in such content. Content decisions regarding Class Insights posts are made in ClassSwap's sole discretion, consistent with Section 7 (User Content and Postings) and our Community Guidelines.

We do not warrant that the Services will be uninterrupted, secure, error-free, accurate, reliable, complete, timely, or that any defects will be corrected. We do not control the conduct of users or the content they post, and we are not responsible for any user behavior, disputes, or outcomes. You use the Services at your own risk and discretion.

15. Technical Issues and Malware

We work to ensure ClassSwap functions properly and address technical issues on our end as soon as we become aware of them. However, your device, browser, or any third-party software installed on it may affect how you experience the Services in ways beyond our control.

If you notice unusual behavior on ClassSwap, such as unexpected pop-ups, redirects, or content that doesn't match what we've described in these Terms, it may be caused by malicious software ("malware") on your device rather than by ClassSwap itself. We recommend using reputable antivirus or anti-malware software and keeping your browser and operating system up to date.

We are not responsible for the effects of any third-party software, including malware, on your device. If you continue experiencing issues after taking these steps, please contact us through our Contact Us form.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CLASSSWAP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES, EVEN IF CLASSSWAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO CLASSSWAP FOR USE OF THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100). THE FOREGOING LIMITATIONS APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, WARRANTY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in whole or in part.

17. Indemnification

You agree to indemnify, defend, and hold harmless ClassSwap LLC and its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content, listings, messages, or other postings; (c) your violation of these Terms or any applicable law; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any fraud, misrepresentation, misconduct, or harmful behavior by you in connection with the Services.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims. You may not settle any claim without our prior written consent.

18. Data Breach Notification

ClassSwap takes the security of user personal information seriously. In the event of a data breach affecting your personal information, ClassSwap will notify affected users within 72 hours of becoming aware of the breach, unless a law enforcement agency determines that notification would impede an investigation.

Notification will be sent to the email address associated with your account and will include a description of the incident, the categories of information affected, the steps ClassSwap is taking to secure the platform and investigate the incident, and any steps you may consider taking to protect yourself. We will also take immediate steps to secure the platform, mitigate the breach, and investigate its cause and scope.

Nothing in this section is intended to create or imply any obligation beyond what is required by applicable law. To the fullest extent permitted by law, ClassSwap is not liable for any data breach caused by circumstances beyond its reasonable control, including but not limited to user negligence, third-party attacks, or force majeure events.

19. Arbitration Clause

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES THAT DISPUTES BE RESOLVED THROUGH BINDING ARBITRATION RATHER THAN IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, your use of the Services, or the relationship between you and ClassSwap LLC ("Dispute") shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, except as otherwise provided in this Section 19. The arbitration shall be conducted in the English language in Los Angeles County, California, unless you and ClassSwap agree otherwise in writing.

The arbitrator shall have exclusive authority to resolve any Dispute, including the interpretation, enforceability, scope, and validity of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.

You and ClassSwap agree that any arbitration shall be conducted on an individual basis only and not in a class, collective, consolidated, or representative proceeding. To the fullest extent permitted by law, you and ClassSwap each waive the right to participate as a plaintiff or class member in any purported class action, collective action, private attorney general action, or other representative proceeding. If this class action waiver is found to be unenforceable with respect to any particular claim, then that claim shall be severed from the arbitration and may be brought in court, but the remainder of the Dispute shall be arbitrated.

This arbitration agreement does not prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for claims relating to the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Either party may also seek relief in small claims court for disputes within the scope of that court's jurisdiction.

20. Jury Trial Waiver

To the extent any Dispute is permitted to proceed in court rather than through arbitration as described above, you and ClassSwap each knowingly and voluntarily waive any right to a trial by jury in connection with such Dispute.

21. Governing Law

These Terms and any Dispute arising out of or relating to these Terms, the Services, or the relationship between you and ClassSwap shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any lawsuit or court proceeding permitted under Section 19 shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction and venue of such courts.

22. Modifications

ClassSwap reserves the right to modify, amend, or update these Terms at any time in its sole discretion. If we make material changes, we will notify you by email, by posting a prominent notice on the Services, or by updating the "Last Updated" date at the top of this page. Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services immediately.

It is your responsibility to review these Terms periodically. The most current version will always be available on this page and will supersede all prior versions.

23. Termination

You may stop using the Services and delete your account at any time. To request account deletion, please contact us through the Contact Us form on the Services.

ClassSwap may, in its sole discretion and without prior notice or liability, suspend, disable, or terminate your access to the Services or your account, for any reason or no reason, including if we believe that you have violated these Terms, engaged in fraud or illegal activity, or otherwise pose a risk to the safety, integrity, or reputation of the platform or other users. Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the Services.

Provisions of these Terms that by their nature should survive termination will survive, including but not limited to provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and governing law.

If we terminate or suspend your account for any reason, you may not register a new account under your own name, a fake or borrowed name, or on behalf of any third party, even if you are acting on behalf of that third party.

24. Non-Affiliation Statement

ClassSwap LLC is not affiliated with, endorsed by, sponsored by, or connected to any educational institution, university, or college. School names and .edu email addresses are used solely to verify that users are currently enrolled college students. No school has approved, endorsed, or authorized ClassSwap.

25. School Trademark Disclaimer

All school names, logos, and trademarks mentioned on ClassSwap belong to their respective educational institutions and are used for identification and search purposes only. ClassSwap makes no claim to any school's name, logo, or intellectual property.

26. Academic Consequences Disclaimer

ClassSwap is not responsible for any academic, financial aid, enrollment, or graduation consequences that may result from any change to your class schedule.

Changing your enrollment may affect your financial aid eligibility, academic standing, prerequisite requirements, or graduation timeline. Always consult your academic advisor, financial aid office, and school registrar before making any changes.

You are solely responsible for knowing and complying with your own school's registration policies and student conduct code. ClassSwap does not review, interpret, or guarantee compliance with any institution's specific policies on your behalf.

ClassSwap is an informational tool only — all enrollment changes are made by you through your school's official registration system.

27. California Users and Residents

If you are a California resident, you are entitled to the following specific consumer rights information under California Civil Code § 1789.3: if you have a complaint regarding the Services that we are unable to resolve, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

28. Electronic Communications

By using the Services, you consent to receive electronic communications from ClassSwap, including notices, disclosures, policy updates, and other communications relating to your account and use of the Services. You agree that any such electronic communication satisfies any legal requirement that such communication be in writing. This consent is separate from, and in addition to, any specific electronic signature consent you provide during account registration or other onboarding processes.

29. User Data

ClassSwap will maintain certain data that you transmit to or generate through the Services, including account information, listings, messages, and related activity. While we take reasonable measures to protect and back up this data, you are solely responsible for any data you transmit or that relates to your activity on the Services. To the fullest extent permitted by law, ClassSwap is not liable for any ordinary loss, corruption, or unavailability of data that does not result from a security breach covered under Section 18 (Data Breach Notification).

30. Statute of Limitations and Export Control

Regardless of any statute or law to the contrary, any claim arising out of or related to your use of the Services or these Terms must be filed within one (1) year after the claim arose, or such claim is permanently barred.

You agree that you will not use, export, or re-export any content, technology, or materials obtained through the Services in violation of any applicable United States export control laws or regulations.

31. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClassSwap regarding your use of the Services and supersede any prior agreements or understandings, whether written or oral.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

ClassSwap may assign or transfer its rights and obligations under these Terms, in whole or in part, at any time without notice to you. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
